The Committee proceeded to elect a Chairman in accordance with Standing Order No.29. The Town Clerk read a list of Members eligible to stand and Shreela Ghosh, being the only Member who expressed her willingness to serve, was duly elected as Chairman of the Remuneration and Nominations Committee of the Board of Governors of the Guildhall School of Music and Drama for the ensuing year.

The Committee received a report of the Town Clerk on the Committees Terms of Reference. The Remunerations & Nominations Committee proposed number of amendments to its Terms of Reference in its past meetings. The Committee was provided with the amended version of the Terms of Reference.

Minutes:

The Committee received a report of the Principal of the Guildhall School of Music & Drama on the length of terms of office of current members of the Board of Governors.

 

There was a discussion in terms of how long a Member can serve on the Committee. The discussion lead to a consensus amongst the Members that the nine years maximum tenure is exercised by the Guildhall School of Music & Drama as recommended by the Office for Higher Education. 

It was noted that the having served almost nine years, Michael Hoffman’s term of Office to the Board of Governors of the Guildhall School of Music & Drama will come to an end in May 2020. The Town Clerk agreed to further investigate the issues concerning the limits to the terms of Office.

The Committee received a report of the Principal of the Guildhall School of Music & Drama on the recruitment strategy for Co-opted Members.

 

Members stressed on the need for inclusivity in ensuring that the Guildhall School of Music & Drama is attracting the best candidates for its advertised roles. It was also emphasised on the need to monitor the level of engagement and attendance of the Co-opted Members. The Committee was informed that Guardian Online is recognised for attracting a diverse range of candidates and is often seen as the hub for culture professional, who are seeking jobs and board positions. The Secretary & Dean of Students also proposed to the Committee on advertising the role on jobs.ac.uk as this platform is used to advertise jobs for Higher Education which also has the possibilities of attracting a diversity and quality candidate.

 

There was a discussion around the use of the words such as “challenging” and it was agreed that that Officers will redraft the job descriptions and ensure that the Chairman approves the paper before it is advertised. Members spoke of the need to ensure that appropriate wording are used in order to ensure the School is attracting the ideal candidates. Additionally, Members were also asked to email their thoughts to the Sectary and Dean of Students.

 

Members were further informed that the Remuneration & Nominations Committee of the Board of Governors of the Guildhall School of Music & Drama is responsible for the Terms of Reference for its Sub Committees therefore the job descriptions are lifted from its Terms of Reference. 

 

A Member sought further clarification on point 26, C from the Co-opted role descriptor. Officers explained that the Audit and Risk Management Committee, along with its Sub Committees needs to work in alignment with decisions in order to ensure smooth process of decision

The Committee received a report of the Principal of the Guildhall School of Music & Drama on the Remuneration Annual Report.

 

The Chairman asked why there was a need to have a Statement and Reference. It was explained that there is a need for an annual report. The annual report is a public document which will include all the salaries of senior Members of Staff. 

Considering the discussion Members agreed that the School needs to have a statement as a public document. The benefit of having a statement is that it will save time and prevent the need for repetitive paperwork.  Members asked to be kept informed with the progress of the statement document and the document be presented to the Committee for its scrutiny.

 

RESOLVED - that the Members approve the Remuneration Annual Report set out in Appendix 1.
