Reports:- General Purposes Committee of Aldermen

Minutes:

(i)            Future Administration and Management of the Charities Associated with the Court of Aldermen: Emanuel Hospital, Ada Lewis Winter Distress Fund and the Mansion House Staff Fund

 

 Resolved:- That -

 

(i)         the City of London Corporation in its capacity as trustee acting by the Court of Aldermen, approve the new cy-près scheme for Emanuel Hospital (206952) and agree to apply to the Charity Commission for the final scheme to be made;

(ii)        in its capacity as trustees of the Mansion House Staff Fund (247848), the terms of the draft written resolutions and the statement of reasons for the transfer of the charity’s assets to Emanuel Hospital (206952) and the closure of the Mansion House Staff Fund (247848) charity be agreed; and delegated authority be granted to Alderman Ian Luder to agree the final form of the resolutions and statement of reasons, to take any decisions arising and to sign the written resolutions on behalf of the Court of Aldermen;

(iii)       the appointment of Alderman Sir Charles Bowman as a co-optative trustee of the Ada Lewis Winter Distress Fund (2016190), as required under that charity’s governing scheme (as amended), five trustees being required to effect any decisions to transfer the charity’s assets and close the charity and only four being currently appointed, be recommended to the trustees of the Ada Lewis Winter Distress Fund (2016190);

(iv)       the proposed terms of the written resolutions and the statement of reasons in respect of the Ada Lewis Winter Distress Fund (2016190) for the transfer of the charity’s assets to Emanuel Hospital (206952) and for the closure of the charity be noted;

(v)       the City of London Corporation in its capacity as trustee of Emanuel Hospital (206952) agree to accept the expendable endowment and unrestricted funds of the Mansion House Staff Fund (247848) into Emanuel Hospital (206952), with any investments of the transferring charity invested in the City of London Charities Pool being transferred into the name of the Emanuel Hospital (206952) charity;

(vi)       the City of London Corporation in its capacity as trustee of Emanuel Hospital (206952) agree to accept the transfer of the permanent endowment funds of the Ada Lewis Winter Distress Fund (2016190) to be held as an addition to the permanent endowment of the Emanuel Hospital charity, and to accept any unrestricted funds of the charity into the general funds of the Emanuel Hospital charity, with any investments of the transferring charity invested in the City of London Charities Pool being transferred into the name of the Emanuel Hospital charity; and further in accepting any funds transferred from the Ada Lewis Winter Distress Fund (2016190) to note the anticipated wish of that charity’s trustees that the four most recent beneficiaries of that charity will be considered for support from the Emanuel Hospital charity subject to their eligibility and need;

(vii)      the City of London Corporation in its capacity as trustee of Emanuel Hospital (206952) authorise the Comptroller & City Solicitor to instruct the external legal advisors Bates Wells LLP to apply to the Charity Commission for the approved scheme to be made and to confirm that the trustee is not aware that the scheme is likely to be contentious and that the trustee is not aware of any opposition to the scheme;

(viii)     the City of London Corporation in its capacity as trustee of Emanuel Hospital (206952) acting by the Court of Aldermen authorise the charity to meet external legal costs of up to £7,500 associated with the recommendations at 1-7 above, including costs already incurred in this financial year under the authorities previously given; and

(xi)      delegated authority be granted to the Comptroller and City Solicitor, in consultation with the City Remembrancer, to instruct the external legal advisors Bates Wells LLP as required to give effect to the resolutions passed further to recommendations 1-8 above.

 

(ii)          Privileged Regiment status: First Aid Nursing Yeomanry (Princess Royal’s Volunteer Corps)

Resolved: - That the status of a Privileged Corps of the City of London be conferred upon the First Aid Nursing Yeomanry (Princess Royal’s Volunteer Corps).
